END USER LICENSE AGREEMENT
THIS IS IMPORTANT INFORMATION - PLEASE READ CAREFULLY
This MSL End User License Agreement ("AGREEMENT") is a legal agreement between you (either an individual or a single entity) and MSL for the MSL Parts Price Updates product, which may includes computer software, computer data files, associated media, printed materials, and "online" or electronic documentation ("SOFTWARE PRODUCT").
The SOFTWARE PRODUCT also includes any updates and supplements to the original SOFTWARE PRODUCT provided to you by MSL.
By installing, copying, downloading, accessing, or otherwise using the SOFTWARE PRODUCT, you agree to be bound by the terms of this AGREEMENT. If you do not agree to the terms of this AGREEMENT, do not install or use the SOFTWARE PRODUCT. If you renew your licence for the SOFTWARE PRODUCT at the end of an initial, or subsequent licence period, then you are agreeing to the terms of this AGREEMENT which may change from time to time.
SOFTWARE PRODUCT LICENSE
The SOFTWARE PRODUCT is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The SOFTWARE PRODUCT is licensed for a fixed period and is not sold.
1. GRANT OF LICENSE.
This AGREEMENT grants you the following rights:
You may install, use, access, display, run, or otherwise interact with ("RUN") one copy of the SOFTWARE PRODUCT, or any prior version for the same operating system, on a single computer, workstation or terminal ("COMPUTER") for the duration of the licence purchased with the SOFTWARE PRODUCT. All rights not expressly granted are reserved by MSL.
2. LIMITATIONS.
You may not reverse engineer, decompile, or disassemble the SOFTWARE PRODUCT.
You may not rent, lease, or lend the SOFTWARE PRODUCT.
You may not transfer your rights to use any part of the SOFTWARE PRODUCT to any other party without prior express written consent from MSL.
You may not demonstrate, or discuss, the functionality of the SOFTWARE PRODUCT to any organisation or individual outside of your own business, nor software designers and developers within your own business, without express written permission from MSL.
To the maximum extent permitted by applicable law, in no event shall MSL be liable for any special, incidental, indirect, or consequential damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other loss) arising out of the use of or inability to use or termination of licence for the SOFTWARE PRODUCT, even if MSL have been advised of the possibility of such damages. In any case, MSL's entire liability under any provision of this AGREEMENT shall be limited to the amount actually paid by you for the SOFTWARE PRODUCT.
3. UPGRADES.
If the SOFTWARE PRODUCT is purchased as an upgrade, you must be properly licensed to use the product identified by MSL as being eligible for the upgrade in order to use the SOFTWARE PRODUCT. A SOFTWARE PRODUCT issued as an upgrade replaces the product that formed the basis for your eligibility for the upgrade. You may use the resulting upgraded product only in accordance with the terms of this AGREEMENT.
4. COPYRIGHT.
All title and copyrights in and to the SOFTWARE PRODUCT (including but not limited to any logos, images, photographs, video, audio, and text incorporated into the SOFTWARE PRODUCT), any accompanying printed materials, and any copies of the SOFTWARE PRODUCT are wholly owned by MSL. If this SOFTWARE PRODUCT contains documentation that is provided only in electronic form, you may print one copy of such electronic documentation. You may not copy the printed materials accompanying the SOFTWARE PRODUCT.
5. TERMINATION
Your licence to use the SOFTWARE PRODUCT will terminate once the licence renewal date has expired.
Without prejudice to any other rights, MSL may terminate this AGREEMENT without notice, in which case no refunds will be given and MSL retain the right to seek damages against you for any reason, such as your failure to comply with the terms and conditions of this AGREEMENT.
MSL may also decline to accept a licence renewal payment from you, thereby terminating your licence to use the SOFTWARE PRODUCT.
If, for whatever reason and by whichever means, the AGREEMENT is terminated you must destroy all copies of the SOFTWARE PRODUCT and all of its component parts including any and all backup copies.
6. BACKUP COPY.
After installation of one copy of the SOFTWARE PRODUCT pursuant to this AGREEMENT, you may keep the original media on which the SOFTWARE PRODUCT was provided by MSL solely for backup or archival purposes. If the original media is required to use the SOFTWARE PRODUCT on the COMPUTER, you may make one copy of the SOFTWARE PRODUCT solely for backup or archival purposes. Except as expressly provided in this AGREEMENT, you may not otherwise make copies of the SOFTWARE PRODUCT or the printed materials accompanying the SOFTWARE PRODUCT.
7. INSTALLATION & COMPUTER VIRUSES.
MSL cannot accept any responsibility for disruption/damage and/or loss to your computer system or data while installing or using our SOFTWARE PRODUCT. Similar to most other industry standard applications, the installation of the SOFTWARE PRODUCT may involve loading various DLL's and database access components onto your computer which could effect other software already installed on your system if they use or rely on older versions of these drivers and libraries. Most such issues can be resolved by obtaining the latest versions of the applications effected which we would strongly suggest you obtain before installing the SOFTWARE PRODUCT.
8. DISCLAIMER.
All data associated with the SOFTWARE PRODUCT is provided for guidance purposes only. Neither MSL, it's Directors, Employees, Consultants or Agents shall be liable for any losses arising from reliance upon the information contained in, or generated from, any literature, documents, letters or data files provided to you by MSL or acting or declining to act in any way as a result of any information contained within the SOFTWARE PRODUCT, associated documentation or data files.
9. RELATIONSHIP.
This AGREEMENT forms an independent contract between MSL and you and is not affected by the terms of any other agreements that may be in force between MSL and/or you and any Third Parties.
10. GOVERNING LAW.
This AGREEMENT shall be governed by and construed in accordance with the Laws of Australia and the parties irrevocably submit to the exclusive jurisdiction of that country's Courts.
11. NO WAIVER
No waiver of any term or condition of this AGREEMENT shall be effective unless made in writing and signed by the party against which enforcement of the waiver is sought. The waiver of any breach of any term or condition of this AGREEMENT shall not be construed as a waiver of any subsequent breach of a term or condition of the same or different nature.
Your rights and our rights under this AGREEMENT will not be affected if either of us do not enforce or delay in enforcing any of these terms.
To the maximum extent permitted by governing law MSL disclaim all other warranties and conditions either express or implied including but not limited to implied warranties of merchantability, fitness for a particular purpose, and title with regard to the SOFTWARE PRODUCT. This limited Warranty does not effect your statutory rights.
